Secures $15 Million in Funding
San Francisco -- On the heels of its recent
growth in both revenue and
customers, San Francisco-based nCircle, a provider of vulnerability
management software, revealed that it recently raised $15 million in
its
fourth round of funding, led by Menlo Ventures. Other participants
included previous investors BV Capital and Alta Partners. The company
said that its revenue increased 70% in 2003 with the addition of more
than 40 new customers, including the Office of Naval Intelligence and
AXA Rosenberg. As part of the company's expansion, nCircle said that
it
recently hired Rob Byrne as its vice president of engineering. NCircle's
software allows companies to find and eliminate security vulnerabilities
before they can be exploited.

o Emeryville-Based Gracenote
Raises $13 Million in Fourth Round
Emeryville, Calif. -- Gracenote, an
Emeryville-based provider of
information services for digital music and media, said that it has landed
$13 million in its fourth round of funding, led by Bessemer Venture
Partners. Previous investors Sequoia Capital, Scott Jones and Simon
Investments also participated in the round, which the company will use,
in part, to expand its staff and accelerate product development.
Gracenote's technology, used by makers of digital music and
entertainment products, provides such functions as music identification,
automatic file formatting and cleaning, automatic playlists and links
to
related content. Customers include Alpine, Clarion JVC, Gibson Audio,
Kenwood, Panasonic, Philips, Pioneer, RCA, Samsung, Sanyo, Sharp,
Sony, TDK and Yamaha. The technology also is used in media players,
including AOL's Winamp, Apple's iTunes and RealNetworks' RealPlayer.

Software Lands $12.6 Million
Mountain View, Calif. -- Agitar Software,
a Mountain View-based maker
of software that helps automate and manage the process of developer
testing, said on Tuesday that it has secured $12.6 million in its second
round of funding, led by New Enterprise Associates. Wilson Sonsini
Investment, Amidzad II and Sequoia Capital also participated. "Even
before meeting Agitar Software, we had identified automation of software
quality as an important industry sector with enormous opportunity for
innovation," said Peter Morris, a general partner at NEA.

o Santa Clara-Based NeoPath
Networks Raises $6 Million in First Round
Santa Clara, Calif. -- Preparing
for its first product release after spending
two years under the radar, Santa Clara-based NeoPath Networks said that
it has raised $6 million in its first round of funding, co-led by August
Capital and DCM-Doll Capital Management. DotEdu Ventures and Bill
Joy through HighBAR Ventures also participated in the round. The
company is developing a new class of intelligent file management
technology that addresses the growth of unstructured file data. Rajeev
Chawla, the company's president and CEO, previously has spent time
with Sun Microsystems, Healtheon/WebMD, Ingrian Systems and
Integrated Systems. Prior to NeoPath he co-founded Ingrian Systems.

o IBM to Acquire Brisbane-Based
Trigo Technologies
Brisbane, Calif. -- IBM said on Tuesday that it will
acquire Brisbane-
based Trigo Technologies, a privately held provider of product
information management software. Terms of the deal were not disclosed.
Trigo provides software that allows companies to integrate and centrally
manage comprehensive product information that is typically scattered
across an organization and supply chain. The company targets large
retailers, consumer products firms, manufacturers, distributors and other
large businesses. Trigo has about 150 employees, with other offices in
Amsterdam and India. Its customers include Royal Philips Electronics,
Staples, Sony and Unilever.

o Sunnyvale-Based PLX Technology
to Acquire NetChip
Sunnyvale, Calif. -- PLX Technology, a Sunnyvale-based
supplier of
input-output interconnect silicon to the communications, server, storage
and embedded-control industries, said on Tuesday that it will acquire
Mountain View-based NetChip Technology, a supplier of high-
performance semiconductors and subsystems, for approximately $20
million in stock. Under terms of the deal, PLX may pay out up to $10
million more in a year, depending on the outcome of the deal. NetChip
has approximately 20 employees. NetChip's founder and president, Wei-
Ti Liu, was also a founder of PLX and several of NetChip's key
engineering and marketing people have worked for PLX.

o Newark's M-Systems to
Make Flash Memory for Next Xbox
Newark, Calif. -- M-Systems, an Israeli
maker of Flash memory storage
products with U.S. headquarters in Newark, said that Microsoft has
contracted the company to provide Flash memory for the next edition of
its Xbox video game console. Dov Moran, the CEO of M-Systems, told
an Israeli newspaper that Flash memory will replace the hard drive --
once touted as a feature that set the Xbox apart from competing game
systems -- in the next version of the console, "Microsoft has taken
the
hard disc out of its Xbox," Moran told Israeli business daily Globes. "At
some point, when users want to save their e-mail messages, copy music,
or anything like that, the only storage they'll have is what we give
them."
Microsoft would only say that Moran's statements are speculation.

path to Sell $18.5 Million in Notes
San Francisco -- Critical Path, a San Francisco-based provider of digital
communications software and services, said on Tuesday that it will raise
$18.5 million by selling convertible notes. New investors include
Crosslink Capital, Criterion Capital Management and Heights Capital
Management. In addition, entities affiliated with Apex Capital, which
had
invested in the company in January, have invested again. The investments
consist of 10% senior secured notes, which will convert into
approximately 12.3 million shares of preferred stock at $1.50 each.
